These Sales Terms (“Terms of Sale”) apply to purchases from Optimax Auto Parts LLC (“Optimax,” “we,” “us,” “our”) via optimaxautoparts.com and our related marketplaces.

1) Orders, Acceptance & Verification

  • Offer & Acceptance. Your order is an offer to buy. We accept only when we charge your payment method and confirm shipment.
  • Verification & Fraud Checks. We may verify identity, shipping address, and payment details, and may cancel any order suspected of fraud/abuse or inconsistency with our policies.
  • Cancellations/Changes. Requested changes/cancellations are not guaranteed once processing begins. Contact us promptly by email or phone.

 

2) Pricing, Promotions & Availability

  • Prices. USD unless stated otherwise; subject to change without notice.
  • Errors & Misprints. We may cancel or adjust if pricing/description is inaccurate or if an item becomes unavailable.
  • Coupons/Promos. One per order unless stated. Non-transferable. May exclude certain brands/categories.
  • Backorders/Lead Times. Estimated dates are not guarantees; we’ll notify you if delays occur.

 

3) Payment

We accept commonly used payment methods (subject to processor approval). We reserve the right to refuse/limit any transaction. For high-value orders we may request additional verification.

 

4) Taxes & Regulatory Fees

Applicable sales/use taxes and fees are calculated at checkout based on the destination and current rules. You are responsible for any post-delivery assessments by tax authorities.

 

5) Shipping, Risk of Loss & Title

  • Service Area. Ground shipping to the contiguous 48 U.S. states. AK/HI/PR/Guam/VI and international destinations: contact us for a quote via email or phone.
  • Handling & Carrier. We select the carrier and shipping method unless otherwise agreed.
  • Title/Risk of Loss. Pass to you when we deliver the goods to the carrier (FOB origin), unless required otherwise by applicable law.
  • Delivery Timeframes. Estimates reflect typical transit times and are not guaranteed. Weather/holiday/operational delays may occur.

 

6) Freight (LTL) Deliveries

  • Appointments & Access. Residential/Liftgate/Appointment services may incur extra charges. Ensure driveway/access suitability.
  • Inspection at Delivery. Before signing, inspect packaging. If damaged/short, note it on the delivery receipt and take photos; refuse only if severely damaged. Contact us promptly with details.
  • Redelivery/Storage Fees. Missed appointments or refusal for non-damage reasons may incur carrier fees.

 

7) Inspection on Receipt

Open and inspect your order within 48 hours of delivery. Report shortages, wrong items, or concealed damage with photos and your order details.

 

8) Returns, Exchanges & RMA

  • Return Window. Unless otherwise stated, returns are accepted within 30 days of delivery.
  • Condition. Items must be new, uninstalled, unused, with all hardware, accessories, and original packaging.
  • Non-Returnable Items. Installed or used parts; electrical/electronic components; custom/special orders; fluids; items explicitly marked “non-returnable,” subject to consumer law.
  • Authorization. Contact us to obtain return instructions and an RMA reference by email or phone before shipping the item back.
  • Restocking. Up to 15% restocking may apply where the return is not due to our error or a verified defect.
  • Return Shipping. If the return is due to our error (wrong item, DOA, confirmed defect), we cover reasonable return shipping; otherwise, you are responsible.
  • Inspection & Refunds. Refunds are issued to the original payment method after inspection. Deductions may be taken for missing parts, damage, or signs of installation/use.
  • Exchanges. Processed as a return + new order unless we confirm a direct replacement.

 

9) Fitment, Installation & Use

  • Buyer Responsibility. Verify fitment with your specific vehicle, model year, trim, roof configuration, and any factory options before installation/use.
  • Professional Installation. Recommended unless instructions clearly state otherwise.
  • Torque/Load Limits. Follow manufacturer torque specs and vehicle/roof rack dynamic & static load ratings; re-torque after initial use and periodically.
  • Off-Road/Emissions. Some components may be off-road/track-use only and may not be street-legal; you are responsible for local compliance.

 

10) Warranties

  • Manufacturer Warranty. If a product carries a manufacturer warranty, its terms apply. We will assist you in reasonable good faith with the claim process.
  • Optimax Warranty Disclaimer. EXCEPT AS EXPRESSLY PROVIDED, PRODUCTS ARE SOLD “AS IS”WITHOUT WARRANTIES BY OPTIMAX, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. Some jurisdictions do not allow limitations on implied warranties—your rights may vary.

 

11) Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OPTIMAX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR LOST PROFITS/REVENUE/DATA/GOODWILL. IN ANY EVENT, OPTIMAX’S TOTAL LIABILITY FOR A CLAIM RELATING TO A PURCHASE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT OR USD $100, WHICHEVER IS GREATER. Some jurisdictions do not allow such limits—your rights may vary.

 

12) Intellectual Property & OEM References

Vehicle names and images are used for identification and fitment reference only. Optimax is not affiliated with vehicle manufacturers unless expressly stated.

 

13) International Orders (If Offered)

  • Duties/Taxes. You are responsible for import duties, VAT/GST, and brokerage fees.
  • Documentation. We ship with accurate customs declarations; we do not mark items as “gift” or undervalue.
  • Voltage/Standards/Compliance. Ensure local compatibility and legality before ordering.

 

14) Export & Sanctions Compliance

You agree to comply with U.S. export controls and sanctions and not to export/re-export products to prohibited destinations or parties.

 

15) Dispute Resolution & Governing Law

These Terms of Sale are governed by the laws of the State of California (conflict-of-law rules excluded). Disputes are handled as stated in our Terms of Use (binding individual arbitration in San Diego County, CA, except where prohibited).
